This End User License Agreement (the "Agreement") is entered into between you (the "Licensee", "you") and Duomei International Industrial Co., Ltd. (Chinese name: 多美國際實業有限公司; the "Company") concerning the use of the following "Licensed Software":
The App and Device Firmware are collectively the "Licensed Software".
By installing, opening, or using the Licensed Software, you agree to be bound by this Agreement. If you do not agree, do not use the Licensed Software.
2.1 Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
(a) install and use the App on iOS/Android mobile devices that you own or control; and (b) use the App and Device Firmware solely for your personal or internal purpose of operating the vehicle Suspension System that you lawfully own and on which a Company Smart Control Box has been properly installed.
2.2 The Device Firmware is licensed with the Smart Control Box, not sold. Acquiring a Smart Control Box that contains the Device Firmware grants you only the right to use that firmware under this Agreement, not ownership of the firmware itself.
Except to the extent expressly permitted by mandatory law of the Republic of China (Taiwan), you shall not, and shall not permit any third party to:
(a) Reverse engineer: reverse engineer, disassemble, decompile, decrypt, or otherwise attempt to derive or obtain the source code, algorithms, communication protocols, or internal structure of the App or Device Firmware; (b) Extract firmware: read, dump, copy, or extract the Device Firmware image (or any part of it) from the Smart Control Box or Suspension System ECU; (c) Circumvent protections: circumvent, disable, remove, or defeat any licensing, pairing (including PIN/secure pairing), encryption, signature-verification, anti-rollback, or other technical protection and access-control mechanism; (d) Unauthorized communication: use any software, tool, or interface other than the Company's App to communicate with, send diagnostic or control commands to, or read from or write to the Smart Control Box, Device Firmware, or Suspension System ECU; (e) Modify / derive: modify, adapt, translate, or create derivative works of the Licensed Software; (f) Reproduce / distribute: reproduce (except as necessary for backup), distribute, publicly transmit, rent, lend, sell, assign, or sublicense the Licensed Software; (g) Remove notices: remove, alter, or obscure any copyright, trademark, or other proprietary notice; (h) Unlawful use: use the Licensed Software for any unlawful purpose, or assist others in any of the foregoing prohibited acts.
Statutory exception for reverse engineering: Where mandatory law grants you rights that cannot be excluded by contract (e.g., decompilation necessary to achieve interoperability with other programs, subject to statutory conditions), the foregoing restrictions do not apply to that extent; however, you should first ask the Company in writing whether it can provide the needed interoperability information.
4.1 All intellectual property rights in the Licensed Software (including all copies, updates, and derivatives) are owned and reserved by the Company or its licensors. This Agreement grants a license to use only, not an assignment of rights.
4.2 The hardware design, circuitry, communication protocols (including the proprietary implementation of diagnostic protocols such as CAN/UDS), and firmware of the Smart Control Box constitute trade secrets and intellectual property of the Company, protected by law.
4.3 The Company may freely use, without restriction or obligation to you, any suggestions or feedback you provide regarding the Licensed Software to improve its products.
5.1 The Company may from time to time provide updates to the App and Device Firmware (including OTA updates). Updates may include security patches, defect fixes, or feature changes, and may be necessary for continued use of the Service.
5.2 This Agreement applies equally to updated versions of the Licensed Software, unless an update is accompanied by separate license terms, which then govern.
The Licensed Software may include third-party or open-source components used under their respective license terms. Applicable notices, if any, will be provided in the App or on the Company's website; to the extent of any conflict, those license terms govern the relevant component.
To the maximum extent permitted by law, the Licensed Software is provided "as is", and the Company makes no express or implied warranty of merchantability, fitness for a particular purpose, error-free or uninterrupted operation. This Section does not exclude warranties or liability that cannot be excluded under mandatory law.
To the maximum extent permitted by law, the Company's liability for damages arising from the use of or inability to use the Licensed Software is governed by Section 11 of the Terms of Service. This Section does not apply to liability that cannot be limited under mandatory law.
9.1 If you breach any provision of this Agreement (in particular the Section 3 restrictions), this license terminates automatically without notice.
9.2 Upon termination, you shall stop using the Licensed Software and delete all copies of the App; the Device Firmware continues to operate with the Smart Control Box, but you no longer hold the use rights granted under this Agreement.
9.3 Sections 3, 4, 7, 8, 10, and any other provisions that by their nature should survive remain effective after termination.
This Agreement is governed by the laws of the Republic of China (Taiwan), with jurisdiction as set out in Section 14 of the Terms of Service. In case of discrepancy between language versions, the Traditional Chinese version prevails.
This Agreement forms part of and applies together with the Terms of Service. Matters not addressed here are governed by the Terms of Service and Privacy Policy; in case of conflict, this Agreement governs as to the licensing and restrictions of the Licensed Software.
